1. Introduction
These Terms of Service (“Terms”) govern the use of the ZNI AI Chatbot & CRM software-as-a-service (“Service”) provided by Intuerias Technology Private Limited (“Intuerias,” “we,” “us,” or “our”). By accessing or using our Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use or access the Service.
2. AI-Specific Definitions
“AI Features” means the conversational assistant, automated responses, generative text, summarization, classification, intent detection, automations, and any related capabilities of the ZNI AI Chatbot & CRM. “Customer Data” means data you submit to or collect via the Service. “AI Output” means content produced by AI Features in response to inputs, prompts, or context supplied by you.
3. License Grant and Restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes only. You agree not to:
- Use the Service for any illegal purpose or in violation of any laws, including but not limited to, those of the United States of America and India;
- Share, resell, sublicense, rent, lease, or otherwise distribute the Service to any third party;
- Modify, adapt, reverse engineer, decompile, or disassemble the Service;
- Use the Service for any purpose that infringes upon the intellectual property rights of others;
- Use the Service in a manner that is harmful, threatening, abusive, or harassing to others;
- Use the Service to store, transmit, or distribute malicious software, including viruses, worms, and trojan horses.
4. Prompt & Content Responsibility
You are solely responsible for the content of prompts, instructions, uploaded or connected data sources, and messages sent via AI Features, including ensuring that such content is lawful, accurate, and appropriate for the intended audience. You must not direct AI Features to generate or transmit content that violates applicable law, infringes third-party rights, or breaches confidentiality obligations.
5. Prohibited AI Use
- Generating or disseminating malware, scams, or content that facilitates fraud or other illegal activity;
- Producing or soliciting content that is defamatory, obscene, hateful, harassing, or that promotes violence or self-harm;
- Attempting to infer or process sensitive attributes without lawful basis (e.g., health, biometrics, sexual orientation, religious beliefs, political opinions);
- Automated decision-making that produces legal or similarly significant effects on individuals without appropriate human oversight and lawful basis;
- Bypassing safety filters, rate limits, or authentication; performing model extraction or adversarial attacks.
6. Third-Party Services
The Service may integrate with or provide links to third-party websites, applications, or services. Intuerias does not endorse or assume any responsibility for such third-party services. If you access or use any third-party services, you do so at your own risk, and you understand that these Terms do not apply to your use of such services. You expressly relieve Intuerias from any and all liability arising from your use of any third-party service.
7. Third-Party Terms
Your use of the Service may be subject to additional terms and conditions imposed by third-party service providers or licensors, such as payment processing services or other software integrations. You are responsible for reviewing and complying with any such third-party terms and conditions. Intuerias is not responsible for the content, privacy practices, or terms and conditions of any third-party services, and your use of any such services is at your own risk.
8. Third-Party Models & Subprocessors
AI Features may leverage third-party models, APIs, and subprocessors. By enabling such features, you authorize Intuerias to transmit Customer Data to these providers solely to deliver the Service. Intuerias remains responsible for its subprocessors’ performance of the Service as required by these Terms.
9. Rate Limits, Fair Use & Abuse
We may impose or adjust rate limits, message caps, token/character limits, concurrency, or throughput constraints to preserve system integrity. We may suspend or throttle accounts exhibiting abuse, excessive usage, scraping behavior, or violation of these Terms or applicable laws.
10. No Uptime Guarantee for Free, One-Time and Lifetime Payment Plans
Intuerias does not provide any uptime guarantees for the "Free", “One-Time Payment Plan” or the “Lifetime Plan.” The Service under these plans is provided on a best-effort basis. Intuerias shall not be held responsible or liable for any damages or losses arising from any downtime, service interruptions, or unavailability of the Service.
11. Service Level Agreement for Monthly and Yearly Plans
For customers on monthly or yearly payment plans, Intuerias will use commercially reasonable efforts to provide 99.9% service availability. However, Intuerias shall not be liable for any damages or losses arising from any downtime, service interruptions, or unavailability of the Service, even if the 99.9% service availability commitment is not met.
12. Plan Validity
Any “Lifetime Plan” or “One-Time Payment Plan” purchased by the Customer shall have a maximum validity of ten (10) years from the date of purchase. If Intuerias shuts down before the end of this period, there shall be no liabilities on Intuerias, and the plan’s validity shall end at that time.
13. Lifetime and One-Time Payment Plans
A “Lifetime Plan” or a “One-Time Payment Plan” refers to a payment arrangement where a customer agrees to pay for using the cloud-based ZNI Service for the validity period specified in Section 12. Under these plans, ZNI is provided as a Software as a Service (SaaS) and does not require any downloads by the client. At no point will the user or you become the owner of the software or gain access to any of its code. You are permitted to use the services in accordance with the limitations and features specified in your selected plan.
By using the ZNI Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service. If you do not accept these Terms, you must not use the ZNI Service.
14. No Refund Policy
Intuerias offers free trials and demos of the ZNI Service to allow customers to evaluate the suitability of the Service before making a purchase. As a result, all sales are considered final, and no refunds will be provided under any circumstances once payment for the Service has been made.
15. Customization Payments and Refunds
If you have made a payment for customizations to the ZNI Service, and work has commenced on those customizations, no refunds will be provided for any reason. In such cases, you are obligated to pay the full agreed-upon amount for the customizations, even if you ultimately decide not to use the Service or the customizations.
16. Refunds on Termination
- No Refunds for Violations. If your account is terminated or suspended due to violation of these Terms, illegal use, abusive conduct, or other prohibited activity under Section 18, you will not be entitled to any refund, credit, or compensation for fees already paid.
- Voluntary Cancellation. If you cancel your subscription or account voluntarily, no refunds will be issued for any unused portion of the subscription period. Access to the Service will continue until the end of your current billing cycle, unless otherwise agreed in writing.
- One-Time and Lifetime Plans. Payments made for “One-Time Payment Plans” or “Lifetime Plans” are strictly non-refundable under all circumstances, including early termination by you or by Intuerias for violation of these Terms.
- Prepaid Fees. Prepaid fees, credits, or balances associated with your account will be forfeited upon termination unless required otherwise by applicable law.
- Refunds for Downtime or Suspension. Temporary suspension of your account for investigation or enforcement of these Terms does not entitle you to any refund or extension of subscription.
- Legal Exception. Refunds may only be granted where legally required (e.g., consumer protection laws applicable in your jurisdiction).
17. Termination and Data Export
If Intuerias decides to shut down the Service, we will notify you at least thirty (30) days before the shutdown date. We will provide you with an option to export your data stored on the Service during this notice period.
18. Termination & Suspension of Service
Intuerias reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate your account and access to the ZNI AI Chatbot & CRM Service, with or without prior notice, if we reasonably determine that your conduct violates these Terms, applicable law, or poses a risk to our systems, staff, or other customers. Grounds for termination or suspension include, but are not limited to:
- Illegal or Unauthorized Use. Engaging in any unlawful activities, including fraud, impersonation, phishing, money laundering, or distribution of prohibited content.
- Abuse of Service or Staff. Harassment, threats, or abusive behavior directed at Intuerias employees, contractors, representatives, or other users; using the Service to harass, stalk, or abuse others.
- Security Violations. Attempting to hack, reverse engineer, probe, or gain unauthorized access to the Service, its infrastructure, or other accounts; uploading or distributing malware, ransomware, viruses, worms, or other malicious code.
- Non-Usage / Dormancy. Accounts inactive for more than three (3) consecutive months may be suspended or terminated at Intuerias’ discretion.
- Payment Issues. Failure to pay applicable fees, repeated late payments, or initiating chargebacks without valid cause.
- Exceeding Fair Usage Limits. Excessive consumption of system resources, attempts to bypass rate limits, or using automation/bots to exploit the Service.
- Intellectual Property Violations. Unauthorized reproduction, resale, sublicensing, or distribution of the Service; infringement of the intellectual property rights of Intuerias or third parties.
- Fraudulent or Misleading Accounts. Registering under false information, creating duplicate accounts to evade restrictions, or impersonating others.
- Misuse of AI Features. Directing AI to generate content that is illegal, harmful, defamatory, misleading, or otherwise in violation of law or these Terms.
- Compliance with Law. Termination or suspension may occur if required by law, court order, or government authority.
Effect of Termination
- Your right to access and use the Service will cease immediately.
- Intuerias may, but is not obligated to, provide you an opportunity to export your data prior to deletion.
- Intuerias shall not be liable to you or any third party for suspension or termination under this Section.
- All provisions of these Terms that should survive termination (including Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will remain in full effect.
19. Data Processing & Roles
For Customer Data that includes personal data, you are the controller and Intuerias acts as a processor (or service provider) to the extent required under applicable data protection law. You represent that you have provided all notices and obtained all consents necessary to process Customer Data in the Service. Processing will occur solely to provide, maintain, secure, and improve the Service, to comply with law, and as otherwise permitted by these Terms.
20. Training & Improvement; Opt-Out
Unless you opt out in writing via our support channel, you grant Intuerias a limited right to use anonymized and aggregated telemetry and usage patterns (excluding Customer-identifiable content) to maintain and improve AI Features. Customer prompts and AI Output are not used to train foundation models for third parties. If permitted by law and your configuration, you may opt out, understanding some features may degrade or become unavailable.
21. Data Retention, Deletion & Logs
Operational logs (including timestamps, event metadata, and limited redacted traces necessary for abuse detection and support) may be retained for a commercially reasonable period and then deleted or anonymized. Upon written request and subject to legal holds, Intuerias will delete Customer Data from production systems within a reasonable period. Backups will age out on their normal cycles.
22. Confidentiality & Customer Secrets
Intuerias will not disclose Customer Confidential Information except to personnel, contractors, and subprocessors under confidentiality obligations who need access to operate the Service, or as required by law. You must not prompt the AI Features with secrets you are not authorized to disclose to Intuerias or its subprocessors.
23. Cookies and Tracking Technologies
ZNI uses cookies and other tracking technologies to enhance your experience with the Service, improve the Service’s performance, and provide you with personalized content. By using the Service, you consent to the placement and use of cookies and similar technologies on your device. These cookies and tracking technologies are necessary for the proper functioning of the Service and cannot be deleted or disabled.
24. Third-Party Tracking Technologies
Our Service may also incorporate third-party tracking technologies, such as Google Analytics or other analytics providers, to help us better understand the usage of our Service and improve its functionality. These third-party tracking technologies may use cookies or other tracking methods to collect data about your usage of the Service. By using the Service, you consent to the use of these third-party tracking technologies on your device.
25. Regulatory & Export Compliance
You represent that your use of AI Features complies with applicable law, including India’s DPDP Act and, if applicable to you, GDPR or other data protection laws. You further represent that you are not located in, under the control of, or a national or resident of any country or person subject to sanctions or export restrictions and will not use AI Features for restricted end uses.
26. Electronic Communications
When you use the Service or send emails to Intuerias, you are communicating with us electronically. You consent to receive communications from us electronically. We may communicate with you by email or by posting notices on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
27. Limitation of Liability for Security Incidents
Intuerias shall not be liable for any damages or losses arising from security incidents, including but not limited to, hacking, data deletion, ransom demands, data encryption, unauthorized access, or data leakage caused by unauthorized persons. You acknowledge that your use of the Service is at your own risk, and you are solely responsible for implementing appropriate security measures to protect your data.
28. IP in Prompts & Outputs
As between the parties and to the extent permitted by law, you retain rights in your prompts and Customer Data. Subject to third-party rights and applicable law, Intuerias assigns to you any rights it may obtain in AI Output generated specifically from your prompts for your use, provided that you comply with these Terms. You are responsible for ensuring that your use of AI Output complies with applicable laws and third-party rights.
29. Feedback
If you choose to provide feedback, suggestions, or ideas about the Service (“Feedback”), you acknowledge and agree that Intuerias may use, disclose, reproduce, modify, and distribute your Feedback without any obligation to compensate you or provide attribution. You hereby grant Intuerias a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, and transferable license to use, copy, modify, create derivative works of, distribute, and sublicense your Feedback in any form and for any purpose.
30. No Warranty
The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Intuerias disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
31. No Professional Advice
AI Output is not legal, medical, financial, or other professional advice. You agree to seek professional advice where appropriate and not to rely on AI Output as a substitute for professional judgment.
32. Limitation of Liability
To the fullest extent permitted by applicable law, Intuerias shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Service, or any other claim related in any way to your use of the Service.
33. Liability Cap (AI Features)
Without limiting Sections 30 and 32, and to the maximum extent permitted by law, Intuerias’ aggregate liability arising from or relating to AI Features shall not exceed the greater of (a) the amounts paid by you for the AI Features in the twelve (12) months preceding the event giving rise to liability, or (b) INR 50,000. This cap does not apply to your payment obligations or your breach of Sections 4–5 (Prompt/Prohibited Use) or 22 (Confidentiality).
34. Indemnification
You agree to defend, indemnify, and hold harmless Intuerias, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any infringement of any intellectual property rights, any unauthorized use of the Service, or any breach of your representations and warranties contained herein.
35. Indemnity for Third-Party Integrations
You agree to defend, indemnify, and hold harmless Intuerias, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of any third-party integrations, software, or services in connection with the Service. This includes any claims arising from your violation of third-party terms or any harm caused by such integrations.
36. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the court of Lucknow, Uttar Pradesh, India.
37. Dispute Resolution
Any disputes arising out of or in connection with these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiations between you and Intuerias. If negotiations do not result in a mutually agreeable resolution, either party may pursue any and all available remedies under the applicable law.
38. Changes to Terms
Intuerias reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
39. Notices
All notices, requests, consents, claims, demands, waivers, and other communications under these Terms must be in writing and addressed to the contact information provided in Section 40. Such notices will be deemed to have been given: (i) when delivered by hand (with written confirmation of receipt); (ii) when received by the addressee if sent by a nationally recognized overnight courier (receipt requested); (iii) on the date sent by email (with confirmation of transmission) if sent during normal business hours of the recipient; or (iv) on the next business day if sent by email after normal business hours of the recipient.

41. Entire Agreement
These Terms, together with any applicable Privacy Policy, constitute the entire agreement between you and Intuerias regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. No waiver of any provision of these Terms shall be effective unless it is in writing and signed by the party against whom such waiver is sought to be enforced.
42. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the extent necessary to make it enforceable, or if that is not possible, eliminated, and the remaining provisions of these Terms shall continue in full force and effect.
43. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Intuerias’ prior written consent. Any attempt by you to assign or transfer these Terms without such consent shall be null and void. Intuerias may freely assign or transfer these Terms without restriction.
44. No Agency
Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Intuerias. You agree not to represent or imply to any third party that you are an agent, representative, or employee of Intuerias or that you have the authority to bind Intuerias in any way.
45. Headings
The headings in these Terms are for reference purposes only and do not affect the interpretation or meaning of any provision herein.
46. Survival
Any provisions of these Terms that, by their nature, should survive the termination or expiration of these Terms, including but not limited to Sections 30 (No Warranty), 32 (Limitation of Liability), 36 (Governing Law), 42 (Severability), and 37 (Dispute Resolution), shall continue in full force and effect following such termination or expiration.
47. Additional Terms
Certain features or services offered through the Service may be subject to additional terms and conditions. In the event of any conflict between these Terms and any additional terms and conditions, the additional terms and conditions will control with respect to your use of or access to that feature or service.
48. No Waiver
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Intuerias to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
49. Language
These Terms have been prepared in English and may be translated into other languages. In the event of any inconsistency between the English version and any translated version, the English version shall prevail, to the extent of such inconsistency.
50. Amendments to Cookie Policy
We may update or amend our cookie policy and tracking technology practices at any time. When we make changes to our cookie policy, we will notify you by updating this section of the Terms of Service or by other means as required by applicable law. Your continued use of the Service following the posting of changes to our cookie policy indicates your acceptance of those changes.
